Client Terms & Conditions

Effective date: 1 January 2026

At Cranberryhome, we believe that successful interior design projects are built on creativity, collaboration, clarity and mutual understanding.

Our Client Terms & Conditions explain how we work, what you can expect from us and the responsibilities we share throughout the design and procurement process.

We encourage all prospective clients to familiarise themselves with these terms before commencing a project. They are designed to ensure transparency, establish clear expectations and provide a positive working relationship from initial consultation through to project completion.

Our terms form part of the contractual agreement between Cranberryhome and our clients and should be read alongside your individual design proposal and fee schedule.

These Terms and Conditions apply to all interior design, project coordination, procurement, furnishing and fit-out services provided by Cranberryhome Ltd (“Cranberryhome”, “we”, “us” or “our”) to its clients (“Client” or “you”).

1. Formation of Contract

1.1 These Terms and Conditions, together with the accepted Estimate, Proposal, Scope of Works and any subsequent written variations, constitute the agreement between Cranberryhome and the Client (“the Contract”).

1.2 The Contract comes into effect when the Client confirms acceptance of the Estimate or Proposal, signs the agreement, makes the agreed initial payment or otherwise instructs Cranberryhome to commence work.

1.3 The Client confirms that they have read, understood and accepted these Terms and Conditions before instructing Cranberryhome to proceed.

1.4 The agreed Estimate or Proposal will identify the services, design fees, anticipated costs and scope of work. Any additional services or amendments will be dealt with under these Terms and Conditions.

2. Cranberryhome’s Obligations

2.1 Cranberryhome will provide the services described in the agreed Estimate or Proposal, exercising reasonable care and skill and acting in a professional manner.

2.2 Cranberryhome will endeavour to advise the Client of anticipated project timescales as soon as reasonably practicable. All estimated dates are indicative unless expressly agreed otherwise in writing.

2.3 Cranberryhome may coordinate third-party companies, tradespeople, manufacturers and suppliers (“Third Party Suppliers”) in connection with the project.

2.4 Cranberryhome will communicate relevant project developments and advise the Client of significant changes affecting the agreed scope, specification or anticipated costs.

2.5 Where goods and materials are supplied by Cranberryhome, they will comply with the applicable statutory requirements relating to quality, description and fitness for purpose.

2.6 Cranberryhome will not be responsible for delays caused by circumstances outside its reasonable control, including supplier shortages, manufacturing delays, transport disruption, industrial action or unforeseen site conditions.

3. Client Obligations

3.1 The Client shall provide accurate and complete information relating to the property, requirements, budget, measurements, access arrangements and any relevant restrictions.

3.2 The Client shall provide reasonable access to the property for Cranberryhome employees, contractors and Third Party Suppliers as required to undertake the agreed services.

3.3 The Client shall ensure that electricity, water, heating and other necessary utilities are available during the project, where reasonably required.

3.4 The Client is responsible for obtaining any necessary permissions, approvals, consents or licences relating to the property, including landlord, freeholder, planning or building control approvals, unless expressly included within Cranberryhome’s agreed scope.

3.5 The Client must make decisions, provide approvals and respond to requests for information within reasonable timescales to prevent unnecessary project delays.

3.6 The Client shall notify Cranberryhome promptly of any changes to their requirements, circumstances or instructions that may affect the project.

3.7 Where the Client fails to provide necessary information, decisions, approvals, payments or access, Cranberryhome reserves the right to revise project timescales and charge for additional work, storage, delivery, rebooking or other reasonable costs arising as a result.

4. Design Services and Fees

4.1 Design fees will be agreed in advance and communicated to the Client in the Estimate or Proposal.

4.2 Unless otherwise agreed in writing, 50% of the agreed design fee is payable upon engagement, with the remaining 50% payable upon presentation of the completed design proposals.

4.3 Design fees cover the design services and agreed deliverables identified in the Proposal. They do not automatically include procurement, project management, installation, travel, accommodation or additional services unless specifically stated.

4.4 Any additional design work, amendments outside the original agreed brief, substantial revisions or additional design time will be charged at £65 per hour, unless an alternative rate has been agreed in writing.

4.5 Design revisions requested by the Client following approval of a design stage may constitute additional chargeable work.

4.6 Cranberryhome reserves the right to charge for additional site visits, meetings, redesigns and project administration where these arise from changes in the Client’s requirements or circumstances.

4.7 Early termination of the design process: Where the Client elects to terminate or withdraw from the design process after Cranberryhome has commenced the agreed design services, the full agreed design fee for the design stage shall become payable. This reflects the agreed design engagement, allocation of professional time and resources, and the commitment made by Cranberryhome to the project.

4.8 The full design fee will remain payable notwithstanding that the Client has chosen not to proceed with the proposed designs, procurement or subsequent stages of the project. Any amounts already paid towards the design fee will be deducted from the amount due.

4.9 Where the Client exercises a statutory cancellation right, or where termination arises from Cranberryhome’s breach, the Client’s statutory and contractual rights will apply and this clause will not override them.

5. Purchasing, Procurement and Approval of Products

5.1 Cranberryhome may source, recommend and procure furniture, furnishings, fixtures, fittings, accessories and other products required for the project.

5.2 The Client will be provided with relevant product specifications, descriptions and pricing for approval before orders are placed.

5.3 Formal approval may be given by email, written correspondence, signed documentation or through Cranberryhome’s designated project management platform, including Planify.

5.4 The Client is responsible for carefully reviewing the products, specifications, dimensions, finishes, colours, quantities and prices presented for approval.

5.5 Once the Client has formally approved an item and authorised its purchase, Cranberryhome is entitled to proceed with placing the order and committing the associated costs. The Client will be responsible for the agreed purchase price and any associated costs arising from the order.

5.6 Where products have been ordered following the Client’s approval, a subsequent change of mind, change of preference or change in project requirements does not automatically entitle the Client to cancel the order or obtain a refund.

5.7 Cranberryhome reserves the right to refuse discretionary returns or cancellations of approved and ordered products where the Client subsequently changes their mind, except where a return, cancellation or refund is required by applicable consumer legislation or the goods are faulty or misdescribed.

5.8 Where Cranberryhome agrees, at its discretion, to accept a return or cancellation arising from a change of mind, the Client will be responsible for the associated costs. These may include supplier restocking charges, which are commonly 25% or more, collection charges, return transportation, delivery costs and reasonable administration costs. All applicable charges will be confirmed where reasonably possible before the return is authorised.

5.9 No return or cancellation will be accepted without Cranberryhome’s prior written agreement. Products must remain unused, undamaged and in their original packaging where required by the supplier’s return conditions.

5.10 Nothing in this clause removes or restricts the Client’s statutory rights in respect of faulty, misdescribed or otherwise non-conforming goods.

6. Product Availability and Substitutions

6.1 Product availability, manufacturing lead times and delivery dates are subject to confirmation by individual manufacturers and suppliers.

6.2 Where an approved product becomes discontinued, unavailable, delayed beyond the required project timescale or otherwise unobtainable, Cranberryhome reserves the right to propose and, where necessary to maintain the project programme, substitute it with an alternative of comparable quality, specification, appearance and price.

6.3 Cranberryhome will endeavour to inform the Client of any proposed substitution and provide details of the alternative product.

6.4 Where a proposed substitution represents a material change to the approved design, specification or functionality, Cranberryhome will obtain the Client’s approval before proceeding.

6.5 No substitution will result in an additional charge to the Client without prior agreement.

6.6 Where a suitable alternative cannot be identified, Cranberryhome will discuss the available options with the Client, including any necessary adjustments to the project specification or programme.

7. Fit-Out, Delivery and Installation

7.1 Fit-out services may include the delivery, placement, assembly, installation and positioning of furniture, furnishings, fixtures, fittings and accessories, as specified in the agreed Proposal.

7.2 The Client shall ensure that the property is suitably prepared and accessible for scheduled deliveries and installation.

7.3 The Client must advise Cranberryhome of any access restrictions, parking limitations, staircases, narrow corridors, weight restrictions, structural limitations or other relevant site conditions before delivery or installation.

7.4 Cranberryhome will take reasonable care when coordinating deliveries and installations. However, additional costs arising from unforeseen access restrictions, unsuitable site conditions or incomplete preparation may be charged to the Client.

7.5 Delivery and installation dates are estimates and may be affected by supplier availability, transportation, manufacturing and other circumstances beyond Cranberryhome’s reasonable control.

7.6 The Client must ensure that any necessary building works, decorating, flooring, electrical works or other preparatory works are completed before scheduled installation, unless otherwise agreed.

7.7 Where installation cannot proceed due to incomplete works, unsuitable site conditions or lack of access, the Client will be responsible for reasonable additional delivery, storage, labour and rebooking charges.

7.8 The Client should inspect completed installations and report any apparent issues to Cranberryhome as soon as reasonably practicable. This does not affect statutory rights relating to latent defects or faulty goods.

8. Third-Party Suppliers and Contractors

8.1 Certain services may be provided by independent Third Party Suppliers, including decorators, builders, electricians, plumbers, flooring contractors, curtain and blind manufacturers, installers and furniture suppliers.

8.2 The relevant Estimate or Proposal, purchase documentation or supplier order will identify whether the Client or Cranberryhome is contracting with the Third Party Supplier.

8.3 Where the Client contracts directly with a Third Party Supplier, the Client will be responsible for the contractual relationship, payment obligations and any associated arrangements.

8.4 Where Cranberryhome purchases goods or commissions services on the Client’s behalf, the applicable contractual arrangements and responsibilities will be identified in the relevant quotation, order or agreement.

8.5 Cranberryhome may coordinate Third Party Suppliers as part of its agreed services. Such coordination does not automatically make Cranberryhome responsible for the independent workmanship, warranties or contractual obligations of those suppliers.

8.6 Cranberryhome will exercise reasonable care and skill when selecting and coordinating suppliers within its agreed responsibilities.

8.7 Any warranties, guarantees or product-specific terms provided by manufacturers or suppliers will be passed on to the Client where applicable.

9. Payment and Billing Terms

9.1 All fees and charges will be identified in the Estimate, Proposal or subsequent written agreement.

9.2 Product purchases, furniture orders, furnishings and other procurement costs must be paid in full before orders are placed, unless otherwise agreed in writing.

9.3 Cranberryhome reserves the right to request staged payments or advance payments in accordance with the project programme and supplier payment requirements.

9.4 Invoices are payable immediately upon presentation unless an alternative payment date has been agreed in writing.

9.5 Payments may be made by bank transfer or other payment methods expressly accepted by Cranberryhome.

9.6 Cranberryhome reserves the right to suspend design services, procurement, deliveries, installation or other project activities where payments remain outstanding.

9.7 Any resulting delays, supplier charges, storage costs or additional administration costs may be charged to the Client where reasonably incurred.

9.8 For business-to-business transactions, Cranberryhome reserves its rights to statutory interest and recovery costs under applicable late payment legislation. For consumer transactions, any contractual interest or recovery charge will only apply where legally permitted and fair.

9.9 Cranberryhome reserves the right to recover reasonable costs incurred in pursuing overdue payments, subject to applicable law.

10. Changes to the Scope of Work

10.1 The agreed Estimate or Proposal defines the original scope of work.

10.2 Any requests for additional work, alterations, additional rooms, revised layouts, replacement products or changes to previously approved specifications may constitute a variation to the original agreement.

10.3 Cranberryhome reserves the right to charge additional fees for such variations, including additional design time, procurement, administration, project coordination and installation costs.

10.4 Where additional costs arise, Cranberryhome will communicate the anticipated charges to the Client for approval before proceeding, except where immediate action is reasonably necessary to protect the property or prevent further loss.

10.5 Changes requested after products have been ordered, manufactured or delivered may result in cancellation, restocking, replacement, collection or additional delivery charges.

11. Cancellation and Termination

11.1 Statutory cancellation rights: Where the Client is a consumer and the Contract is concluded at a distance or off-premises, statutory cancellation rights under applicable consumer legislation will apply. These generally provide a 14-day cancellation period, subject to the relevant statutory conditions and exceptions.

11.2 Where the Client requests that Cranberryhome commences services during an applicable statutory cancellation period, the Client must make the required express request. Where applicable, the Client may be liable for the proportionate cost of services provided before cancellation. The statutory conditions governing loss of the cancellation right following full performance will apply.

11.3 The Client must exercise any statutory cancellation right by providing written notice to Cranberryhome at the contact details specified in these Terms and Conditions.

11.4 Termination after the statutory cancellation period: Following expiry of any applicable statutory cancellation period, the Client may terminate the Contract by giving written notice to Cranberryhome.

11.5 Where the Client terminates the Contract, the following amounts may become payable, subject to applicable consumer legislation:

  • The full agreed design fee where the design process has commenced, in accordance with Section 4.
  • All goods and products ordered or committed to on the Client’s behalf following approval.
  • All services completed or work undertaken up to the termination date.
  • Any non-cancellable supplier commitments, manufacturing costs or contractual obligations.
  • Applicable cancellation, restocking, collection, delivery and storage charges.
  • Reasonable additional costs directly arising from the termination.

11.6 Where a Client terminates the Contract after procurement or fit-out has commenced, Cranberryhome will prepare an account identifying the outstanding fees, committed expenditure and other applicable charges.

11.7 Cranberryhome reserves the right to terminate the Contract where the Client commits a material breach, persistently fails to make payments, fails to provide necessary instructions or access, or behaves in a threatening, abusive or otherwise unreasonable manner towards Cranberryhome employees or representatives.

11.8 Where reasonably practicable, Cranberryhome will provide written notice identifying the breach and allow an appropriate opportunity to remedy it before termination, except where the circumstances justify immediate termination.

11.9 Termination does not affect either party’s accrued rights or obligations, including Cranberryhome’s right to recover outstanding sums properly due.

11.10 Any applicable refunds will be calculated in accordance with the Contract and statutory consumer rights.

12. Liability

12.1 Cranberryhome will exercise reasonable care and skill in providing its services.

12.2 Cranberryhome will not be responsible for losses arising from information, measurements, specifications or instructions supplied by the Client which are incomplete, incorrect or inaccurate, where Cranberryhome has reasonably relied upon that information.

12.3 Cranberryhome will not be responsible for delays or failures caused by circumstances beyond its reasonable control.

12.4 Cranberryhome will not be liable for indirect or consequential losses, including loss of profit or business opportunity, except where such liability cannot lawfully be excluded.

12.5 Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.

12.6 Nothing in these Terms and Conditions affects the Client’s statutory rights relating to goods or services.

12.7 The Client should report concerns regarding the services promptly, providing sufficient information to allow Cranberryhome to investigate and, where appropriate, remedy the issue. This requirement does not restrict any statutory rights or remedies.

13. Force Majeure

13.1 Neither party shall be responsible for a failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.

13.2 Such circumstances may include extreme weather, flooding, fire, industrial action, transport disruption, supplier failures, manufacturing interruptions, government restrictions or other unforeseen events.

13.3 The affected party will notify the other as soon as reasonably practicable and take reasonable steps to minimise the impact.

14. Data Protection and Confidentiality

14.1 Cranberryhome will process the Client’s personal information in accordance with applicable data protection legislation and its Privacy Policy.

14.2 Personal information will be used for the purposes of administering the project, providing services, communicating with the Client and meeting legal obligations.

14.3 Client information will only be shared with suppliers, contractors and other relevant parties where reasonably necessary to deliver the agreed services or where otherwise legally permitted.

14.4 The Client may exercise their applicable data protection rights by contacting Cranberryhome using the details provided below.

15.1 All intellectual property rights in designs, drawings, plans, presentations, specifications, concepts and other materials created by or on behalf of Cranberryhome shall remain the property of Cranberryhome unless otherwise expressly agreed in writing.

15.2 Upon full payment of all outstanding design fees, the Client is granted a non-exclusive, non-transferable licence to use the agreed design materials solely for the purpose of implementing the project at the specified property.

15.3 The Client may not reproduce, distribute, commercially exploit, adapt or use the design materials for another property or project without Cranberryhome’s prior written consent.

15.4 Cranberryhome may photograph completed projects for its portfolio, website, social media, awards and other marketing activities only where the Client has provided the necessary consent.

15.5 Cranberryhome will respect reasonable requests to protect the Client’s privacy and confidential information.

16. General Provisions

16.1 Cranberryhome may appoint subcontractors or assign relevant contractual rights and obligations where reasonably required for operational purposes, subject to applicable law.

16.2 Any amendment to the agreed scope, fees or Contract must be confirmed in writing.

16.3 If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply.

16.4 A failure or delay by either party to enforce a provision of the Contract shall not constitute a waiver of that provision.

16.5 These Terms and Conditions, together with the accepted Estimate or Proposal and any agreed variations, constitute the entire agreement between the parties.

16.6 Nothing in these Terms and Conditions gives any third party the right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.

16.7 The Contract shall be governed by the laws of England and Wales, and the courts of England and Wales shall have jurisdiction, subject to applicable consumer rights.
